Assumption of Risk, Release of Liability and Indemnity Agreement

1. Parties

This Assumption of Risk, Release of Liability and Indemnity Agreement (the "Agreement") is entered into between you (the person signing below, "you", "I", "Participant") and GRC Labs, Inc., a corporation and the operator of game.cash ("GRC Labs"). "Released Parties" means GRC Labs, Inc., game.cash, and each of their parents, subsidiaries and affiliates, and each of their respective officers, directors, shareholders, employees, contractors, agents, licensors, service providers, sponsors and brand partners, successors and assigns.

2. The activity

game.cash is a camera-guided physical-activity and workout platform. Using your device's camera and motion-tracking software, game.cash prompts you to move your body — including jumping, squatting, lunging, ducking, dodging, reaching, punching, dancing, running in place, swinging your arms or a phone, and rapid changes of direction — in your own home or other environment of your choosing (the "Activity"). The Activity may be strenuous. Difficulty levels (Easy, Standard, Hard), goal levels and sponsored challenges may increase the intensity of the Activity.

3. Acknowledgement of risks

I understand and acknowledge that the Activity involves inherent risks of serious injury, illness, permanent disability and death, which may result from my own actions or inactions, the actions of others, the condition of the space I choose, the equipment I use, or the negligence of the Released Parties. These risks include, without limitation:

• Cardiovascular risks — heart attack, stroke, abnormal blood pressure, fainting, dehydration and heat illness, particularly with vigorous or high-difficulty play.
• Musculoskeletal injuries — sprains, strains, muscle tears, tendon and ligament injuries, fractures, dislocations, joint injuries and back injuries from jumping, landing, twisting, squatting and rapid movement.
• Falls — slipping on floors, rugs, socks or wet surfaces; tripping over cables, furniture, pets, children or objects; losing balance while ducking, dodging or landing.
• Collisions — striking walls, ceilings, ceiling fans, light fixtures, doorframes, windows, furniture, televisions, screens, mirrors, glass, other objects, or other people or animals in or entering the play space.
• Camera-guided movement in a home environment — the game directs my attention to a screen while I move; my awareness of my surroundings may be reduced; the camera's field of view, lighting and tracking quality may be imperfect; latency or tracking errors may cause unexpected prompts; the software cannot see hazards around me.
• Equipment and devices — damage to or injury from phones, tablets, laptops, tripods, mounts, cables, headphones or any accessory, including a phone held or swung as a racket or controller.
• Aggravation of pre-existing conditions, pregnancy-related risks, and adverse reactions to exertion.
• Risks that are not known or not reasonably foreseeable at this time.

4. Your responsibilities

I agree that I am solely responsible for my own safety and for the space in which I play, and that I will:

• Consult a physician before beginning this or any exercise program, and obtain medical clearance if I have any cardiovascular, respiratory, musculoskeletal, neurological or other condition, am pregnant, take medication affecting exertion or balance, or have any doubt about my fitness to participate.
• Secure a clear space before every session: remove or move away from furniture, objects, cables, rugs and clutter; ensure a clear radius around me on all sides sufficient for full-extension movement (we recommend at least 2 metres / 6.5 feet in every direction); ensure adequate ceiling height for jumping and reaching overhead with clearance from fans and fixtures; and keep other people, children and pets out of the play area.
• Ensure stable footing: play on a level, dry, non-slip surface, wear appropriate athletic footwear (or, if barefoot, ensure the surface is safe), and never play on wet floors, stairs, elevated surfaces, near pools, or on unstable ground.
• Place my device securely so it cannot fall and so I do not have to reach for it while moving; keep cables out of the play area.
• Warm up before and cool down after sessions; stay hydrated; choose a difficulty and goal level appropriate to my fitness.
• Stop immediately and seek medical attention if I experience chest pain, shortness of breath, dizziness, light-headedness, nausea, unusual pain, or feel unwell in any way. I will not resume until it is safe to do so.
• Use the Service only if I am at least 18 years old (or the age of majority in my jurisdiction) and sober, and never while impaired by alcohol, drugs or medication.
• Follow all safety instructions, warnings and on-screen prompts, and stop if the tracking or environment appears unsafe.

5. Space-check recommendations are advisory

game.cash may show a "space check" or similar prompt that uses the camera to estimate whether my play area appears clear, well-lit and large enough. I understand that these recommendations are advisory only, are based on limited camera information, cannot detect every hazard (including objects outside the camera's view, ceiling height, surface condition, or people and pets entering the area), and are no substitute for my own inspection. Where a space check warns me and I choose to proceed anyway, I do so entirely at my own risk, and my choice may be logged. The absence of a warning does not mean my space is safe.

6. Assumption of risk

I knowingly and voluntarily assume all risks of the Activity, both known and unknown, including the risks described above and the risk of the negligence of the Released Parties, and I accept full responsibility for any injury, illness, death, property damage or loss that I may sustain as a result of participating in the Activity, whether caused by me, the Released Parties, or third parties.

7. Release and waiver of liability

To the fullest extent permitted by applicable law, I, for myself and on behalf of my heirs, executors, administrators, personal representatives, next of kin and assigns, hereby release, waive, discharge and covenant not to sue the Released Parties from and for any and all claims, demands, causes of action, liabilities, damages, losses, costs and expenses (including attorneys' fees) of any kind whatsoever, whether in contract, tort (including negligence), strict liability or otherwise, arising out of or relating to my participation in the Activity or my use of game.cash, including claims for personal injury, illness, death or property damage, even if caused in whole or in part by the negligence of the Released Parties, except to the extent caused by their gross negligence or wilful misconduct where such a release is prohibited by law. I understand that I am giving up substantial rights, including the right to sue.

8. Indemnity

I agree to indemnify, defend and hold harmless the Released Parties from and against any and all claims, demands, suits, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) brought by me or by any third party (including any person or animal injured, or any property damaged, in or around my play space) that arise out of or relate to my participation in the Activity, my breach of this Agreement or the Terms of Service, or my negligence or misconduct.

9. Consent to medical treatment

In the event of injury or medical emergency during or arising from the Activity, I consent to receive emergency medical treatment, transport and care as deemed necessary by responding medical personnel, and I agree that I am solely responsible for all costs of such treatment. The Released Parties have no obligation to provide medical care or emergency response and I acknowledge that, because I play remotely in a location of my choosing, no one from GRC Labs will be present.

10. Representations

I represent and warrant that: I am at least 18 years old and legally competent to enter into this Agreement; I have read this entire Agreement and understand its terms; I am signing it voluntarily and without inducement; I am physically fit and have no medical condition that would prevent my safe participation, or I have obtained a physician's clearance; and I have inspected, and will inspect before each session, the space in which I play.

11. Severability

If any provision of this Agreement is held invalid or unenforceable in any jurisdiction, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. This Agreement is intended to be as broad and inclusive as permitted by the law of the applicable jurisdiction.

12. Governing law

This Agreement is governed by the laws of your state or province of residence as recorded when you sign, without regard to conflict-of-laws rules, and disputes are subject to the dispute-resolution provisions of the Terms of Service. This Agreement supplements, and does not replace, the Terms of Service, the Privacy Policy, the Refund & Cancellation Policy and the Official Rules.

13. Electronic signature

I agree that this Agreement may be signed electronically and that my electronic signature is legally binding to the same extent as a handwritten signature, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act as adopted in my state, and similar laws. My typed full legal name, together with my checking of the acceptance box and the timestamp recorded by game.cash, constitutes my signature on this Agreement. GRC Labs records the document version, my typed name, my country and state or province of residence (which I confirm is accurate and which fixes the governing law above), the date and time, my IP address and my browser identifier as evidence of my acceptance, and will provide me a copy on request. This Agreement remains in effect for every session I play until it is replaced by a later version that I am asked to sign; if I do not agree to a later version I must stop using game.cash.
